Shareholders of Anywhere will receive 1.436 shares of Compass Class A common stock, valuing Anywhere shares at $13.01 based on Compass' 30-day volume weighted average price as of September 19, 2025. Upon completion, Compass shareholders will own approximately 78% of the combined company, while Anywhere shareholders will hold 22%.
Anywhere insiders will receive substantial benefits as part of change of control arrangements.
