EverBank Announces Pricing of Offering of $200 Million of Fixed-to-Floating Rate Subordinated Notes Due 2035

JACKSONVILLE, Fla., Aug. 7, 2025 -- EverBank Financial Corp (the Company), a financial holding company that conducts its banking operations through its wholly owned subsidiary, EverBank, N.A. (EverBank), today announced pricing of its previously announced offering of $200 million aggregate principal amount of its 7.500% Fixed-to-Floating Rate Subordinated Notes due 2035 (the Notes). The Notes were priced at [par]. The Company intends to use the net proceeds from this offering to support the growth of EverBank and for general corporate purposes. The offering is expected to close on August 12, 2025, subject to customary closing conditions.

The Notes have not been and will not be registered under the U.S. Securities Act of 1933, as amended (the Securities Act), or any state securities laws, and may not be offered or sold in the United States absent registration or an applicable exemption from registration under the Securities Act and any applicable state securities laws.
